1. Definitions
In these terms, “Omcircle” means the service provider, and “client” means the party entering into an agreement with Omcircle.
2. Applicability
These terms apply to all quotes, assignments and agreements between Omcircle and the client, unless agreed otherwise in writing.
3. Quotes and agreements
Quotes are without obligation and valid for thirty days, unless stated otherwise. An agreement comes into effect after written or digital confirmation by both parties.
4. Information on the website, the chat and the AI scan
The information on Omcircle's website, the answers of the AI chat and the results of the AI scan are informative in nature. They are produced wholly or partly with the help of AI and may contain inaccuracies or out-of-date details. No rights can be derived from them, and they count as neither advice nor a quote. What binds Omcircle is solely what has been agreed in writing or digitally as referred to in article 3.
5. Performance
Omcircle carries out the assignment to the best of its insight and ability. Any timelines mentioned are indicative and never count as a strict deadline, unless expressly agreed otherwise.
6. Prices and payment
- All prices exclude VAT, unless stated otherwise.
- Invoices are to be paid within fourteen days of the invoice date.
- Statutory interest may be charged on late payment.
7. Intellectual property
Whatever Omcircle makes for the client is made specifically for that client, and becomes the client's property once the assignment in question has been paid in full, including the source code. Because Dutch law requires a signed document for a transfer of copyright, that transfer is recorded per assignment in the order confirmation. For as long as payment has not been made in full, all rights remain with Omcircle. Insofar as the law allows, Omcircle waives its moral rights in the delivered work upon transfer.
The transfer does not affect Omcircle's right to keep using the underlying components, designs, knowledge and techniques, for itself and for others. Third-party and open-source software remain the property of their own rights holders and are covered by their own licences.
If the delivered work runs on Omcircle's infrastructure, the client receives their own data and settings in a usable format on request. Exactly what is handed over on delivery or termination is set out in the proposal.
The quote or order confirmation may deviate from this article in writing.
8. Liability
Omcircle's liability is limited to the invoice amount of the assignment in question. Omcircle is not liable for indirect or consequential damage.
9. Governing law
Dutch law applies to all agreements. Disputes are submitted to the competent court in the Netherlands.
